01 Agreement to These Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "student") and Fidean Technologies, trading as Fiddy AI Academy ("we", "us", "our").

They apply to:

• Your use of the website fiddyaiacademy.com and all related pages and subdomains;
• Your enrollment in any Fiddy AI Academy training level or programme;
• Your use of the student portal, replay library, and community spaces;
• Any related services we provide.

Our Privacy Policy also forms part of this agreement.

02 Who We Are

Fiddy AI Academy is an online training platform operated by Fidean Technologies, registered in the Federal Republic of Nigeria.

03 Eligibility

To enroll in Fiddy AI Academy, you must:

• Be at least 18 years old at the time of enrollment;
• Have the legal capacity to enter into a binding contract;
• Provide accurate, current, and complete information during registration;
• Have lawful access to the payment method you use.

If you are between 13 and 17 years old, a parent or legal guardian must enroll on your behalf and accept these Terms on your behalf.

We reserve the right to refuse enrollment or cancel an account where eligibility requirements are not met.

04 Enrollment & Student Accounts

4.1 Your account

• You will create a student account with your name, email address, and phone number;
• You are responsible for keeping your password confidential;
• You are responsible for all activity that occurs under your account;
• You must notify us immediately if you suspect unauthorised access to your account.

4.2 One account per person

Accounts are personal and non-transferable. Each enrollment covers one individual. Sharing login credentials, streaming replays to others, or allowing multiple people to use one account is strictly prohibited and may result in immediate termination without refund.

4.3 Accurate information

You agree to provide truthful and accurate information. Providing false details, impersonating another person, or creating duplicate accounts to obtain discounts or referral benefits is a breach of these Terms.

05 Pricing & Payment

5.1 Prices

Current published pricing (per student, per year):

Prices are for a 12-month access period unless otherwise stated. We reserve the right to change prices at any time; changes will not affect an access period you have already paid for.

5.2 Payment processing

• All payments are processed securely by Paystack;
• We accept card payments, bank transfers, and USSD where available;
• Payments may be made in Nigerian Naira (NGN) or US Dollar (USD);
• You are responsible for any bank charges, currency conversion fees, or transaction fees applied by your bank or card issuer.

5.3 Access activation

Your access is activated once your payment is confirmed and cleared by our payment processor. In most cases this is immediate, but may take a few minutes during peak periods.

5.4 Failed or reversed payments

If a payment fails, is reversed, or is successfully disputed (charged back), we may suspend or terminate your access until the matter is resolved. We reserve the right to recover any amounts owed.

5.5 Promotional and discounted pricing

From time to time we may offer promotional pricing, launch pricing, or upgrade discounts to specific groups of students. These offers are:

• Available only to those who qualify under the stated conditions;
• Time-limited where a deadline is stated;
• Not guaranteed to be repeated or extended;
• Subject to discontinuation at our discretion.

06 Access Period

Your enrollment grants access to the training content for the level you purchased for a period of 12 months (1 calendar year) from the date your payment is confirmed.

During your access period you may:

• Attend live training sessions scheduled for your cohort;
• Access replays of sessions you attended;
• Access written materials, templates, and resources for your level;
• Participate in the community spaces assigned to your level.

When your access period ends:

• Your account remains, but access to training content and replays is suspended;
• You will not be able to attend new live sessions;
• You may renew your access, subject to the pricing available at that time;
• We may offer renewal discounts at our discretion — these are not guaranteed.

07 Refund Policy

7.1 How to request a refund

Email teamlead@fideantech.com with your full name, the email address used to enroll, and your Paystack transaction reference. We will process eligible refunds within 7–14 business days.

7.2 Refunds after 14 days

After the 14-day window, fees are non-refundable, including in the following circumstances:

• You did not attend live sessions or did not use the training materials;
• You changed your mind or decided the course was not for you;
• You did not achieve the results you expected (see Section 13);
• You forgot about your enrollment or lost interest.

7.3 Exceptions

We may, at our sole discretion, consider refunds outside the 14-day window in exceptional circumstances — for example, where a technical failure on our part prevented you from accessing the training you paid for and we were unable to resolve it. Where we grant such a refund, we may deduct transaction fees charged to us by the payment processor.

7.4 Effect of refund

If a refund is issued, your access to the training, portal, and community spaces for that level will be terminated immediately, and any referral rewards associated with that enrollment will be cancelled.

08 Training Delivery & Replay Access

8.1 Live training

Training is delivered live via online video conferencing (currently Zoom) in scheduled cohorts or batches. You are responsible for:

• Having a stable internet connection;
• Having a compatible device;
• Attending sessions at the scheduled times.

We are not responsible for your inability to attend a session due to connectivity, device, power, or personal circumstances.

8.2 Replay access

Replays of live sessions are made available to students who attended that specific live session for their cohort. Replays are released progressively, not all at once.

• If you attended a session, the replay for that session will become available to you;
• If you missed a live session, the replay for that session remains locked;
• We may, at our discretion, unlock a replay for valid reasons on a case-by-case basis.

8.3 Schedule changes

We reserve the right to reschedule, adjust, or substitute sessions, instructors, or materials where necessary. We will give reasonable notice of significant changes.

8.4 Minimum cohort

Live cohorts require a minimum number of enrolled students to run. If a cohort does not meet the minimum, we may postpone the start date, move you to the next available cohort, or offer a refund or credit at your option.

09 Intellectual Property

9.1 Our content

All training materials, videos, replays, presentations, templates, written guides, prompts, worksheets, course structures, graphics, and website content are the exclusive intellectual property of Fidean Technologies / Fiddy AI Academy or our licensors. They are protected by copyright and other intellectual property laws.

9.2 What you may do

Your enrollment grants you a limited, personal, non-exclusive, non-transferable licence to access and use the training materials for your own personal learning and professional development during your access period. You may apply what you learn in your own work, business, and client projects.

9.3 What you may not do

Breach of this section may result in immediate termination of your access without refund, and may expose you to legal action for copyright infringement.

9.4 Your work

You retain ownership of the videos, projects, and content you create using what you learn. By sharing your work with us — for example, in the community, or as a testimonial — you grant us a non-exclusive, royalty-free licence to showcase it for marketing and educational purposes. You may withdraw this permission at any time by contacting us.

9.5 Trademarks

"Fiddy AI Academy", "Fiddy", "Fidean" and associated logos are our trademarks. You may not use them without our prior written consent.

10 Acceptable Use & Prohibited Conduct

When using our platform, portal, and community, you agree not to:

• Share your account credentials with anyone, or allow others to use your account;
• Attempt to circumvent access controls, level restrictions, or payment requirements;
• Access content for a level you have not paid for;
• Use our platform to harass, threaten, defame, or discriminate against others;
• Post spam, unsolicited advertising, or pyramid/ponzi promotions in our community spaces;
• Upload malware, viruses, or any harmful code;
• Attempt to hack, probe, overload, or disrupt our systems or servers;
• Use automated tools to scrape, harvest, or bulk-download content;
• Impersonate Fiddy AI Academy staff, instructors, or other students;
• Use the training to create content that is unlawful, defamatory, fraudulent, sexually explicit, or that infringes the rights of others;
• Use AI tools taught in our courses to create deepfakes, misleading content, or content that violates the terms of those tools;
• Violate any applicable law or regulation.

We may suspend or terminate your access immediately if you breach this section.

11 Community Rules

Our community spaces exist to help students learn and grow. By participating, you agree to:

• Treat other students and staff with respect;
• Keep discussions relevant to the training and the level of the space you are in;
• Not share content from higher-level spaces with students in lower levels;
• Not promote competing training programmes or services without our permission;
• Not share other students' personal information outside the community;
• Follow any additional guidelines posted within the community.

We may moderate, edit, or remove any content, and remove any member, at our discretion. Community spaces are a privilege of active enrollment and are not available after your access period ends.

12 Referral Programme

We may operate a student referral programme from time to time. Where the programme is available to you, the following conditions apply:

• Eligibility — referral rewards are available only to enrolled students at qualifying levels, as communicated in your portal;
• How it works — each eligible student receives a unique referral code or link. When someone enrolls using your code, you may earn a reward;
• When it is earned — rewards are calculated only after the referred student's payment is confirmed and cleared, and after any refund window has passed;
• Rate — the current referral rate is 50% of the applicable plan value, unless otherwise stated in your portal;
• No self-referrals — referring yourself, or using duplicate accounts or false details to generate referral rewards, is prohibited;
• Cancellations — if a referred student receives a refund, the associated referral reward is cancelled;
• Payouts — the method, timing, and minimum thresholds for referral payouts will be communicated in your portal and may be changed with notice;
• Tax — you are responsible for any tax obligations arising from referral rewards you receive.

We reserve the right to modify, suspend, or discontinue the referral programme at any time, and to withhold rewards in cases of suspected abuse or fraud.

13 No Guarantee of Results or Income

Any examples, case studies, testimonials, or results shared by us or by other students are illustrative only. They reflect individual experiences and are not typical or guaranteed results.

Your results depend on many factors outside our control, including:

• The time and effort you invest;
• Your existing skills and experience;
• How consistently you apply what you learn;
• Market conditions and demand for your services;
• Your own business, sales, and networking ability.

You are solely responsible for your own results. By enrolling, you acknowledge that you are purchasing training, not a guaranteed income or outcome.

14 Third-Party Tools & Platforms

Our training teaches the use of third-party AI tools, software, and platforms. We do not own or control these tools, and we are not responsible for them.

• Third-party tools have their own terms of service and pricing, which may change at any time;
• Some tools may require separate paid subscriptions — these are not included in your enrollment fee unless explicitly stated;
• Free tiers of tools may change, be discontinued, or become paid;
• We do not provide technical support for third-party platforms;
• Any recommendations we make are based on our experience at the time of teaching and are not endorsements or guarantees.

You are responsible for complying with the terms of any third-party tool you use.

15 Disclaimers

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied.

We do not warrant that:

• The platform will be uninterrupted, timely, secure, or error-free;
• Any defects in the platform will be corrected;
• The content is complete, accurate, or current at all times;
• The training will meet your specific expectations or requirements.

Access to online training may occasionally be interrupted by maintenance, upgrades, hosting issues, or events beyond our reasonable control. We will make reasonable efforts to minimise such disruptions.

16 Limitation of Liability

To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount you paid us for the enrollment giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence;
• Fraud or fraudulent misrepresentation;
• Any liability that cannot be excluded or limited under applicable Nigerian law.

17 Suspension & Termination

17.1 By us

We may suspend or terminate your access immediately, without notice or refund, if you:

• Breach these Terms, including copyright or acceptable use provisions;
• Share your account or redistribute our materials;
• Engage in fraudulent, abusive, or unlawful behaviour;
• Abuse the referral programme;
• Engage in conduct that harms our platform, staff, or other students.

17.2 By you

You may close your account at any time by contacting us. Closing your account does not entitle you to a refund outside the refund window set out in Section 7.

17.3 Effect of termination

On termination, your right to access the training, portal, and community ends immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

18 Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, pricing, or legal requirements. When we make material changes, we will:

• Update the "Last updated" date at the top of this page;
• Notify active students by email or through the portal where the change is significant.

Your continued use of our platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, please contact us or stop using our services.

19 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

If a dispute arises, we ask that you first contact us at teamlead@fideantech.com so we can attempt to resolve the matter informally. We will respond within 30 days.

If we cannot resolve the dispute informally within 30 days, either party may refer the matter to the competent courts of Lagos State, Nigeria, which shall have exclusive jurisdiction.

19.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19.2 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our services, and supersede any prior agreements or understandings.
